The capital market in Nepal has been impacted by challenges related to disclosure, corporate governance, and transparency. Effective corporate governance requires a more active involvement from the board of directors and intermediaries. Ensuring investor safety and enhancing transparency are crucial for the stock exchange to grow sustainably the Securities Board of Nepal (SEBON), oversees the country's securities market in accordance with the Securities Act of 2007, is a legal measure aimed at expanding Nepal's capital market. The capital market law in Nepal was first introduced with the formulation and promulgation of Company Act in 1993 (1936 AD). The Securities Exchange Center was then established in 1976 AD. In 1983 AD, Securities Exchange Act, 2040 (1983) was formulated and thus promulgated.
